For purposes of giving full play to the value of intangible assets as exclusive rights to trademarks and promoting economic development, the Provisions on the Procedures for the Registration of Pledge of Exclusive Rights to Registered Trademarks, which are formulated by the State Administration for Industry and Commerce in accordance with relevant provisions of the Real Right Law, the Guaranty Law, the Trademark Law and the Regulation on the Implementation of the Trademark Law, are hereby printed and distributed to you for your implementation.

各省、自治区、直辖市工商行政管理局：
为充分发挥商标专用权无形资产的价值，促进经济发展，根据《物权法》、《担保法》、《商标法》和《商标法实施条例》的有关规定，国家工商行政管理总局制定了《注册商标专用权质权登记程序规定》。现印发给你们，请遵照执行。

Article 1 For purposes of giving full play to the value of intangible assets as exclusive rights to trademarks and promoting the economic development, these Procedures are formulated in accordance with the Real Right Law, the Guaranty Law, the Trademark Law and the Regulation on the Implementation of the Trademark Law.
The State Administration for Industry and Commerce shall be responsible for handling the registration of pledge of exclusive rights to registered trademarks.
| | 第一条 为充分发挥商标专用权无形资产的价值，促进经济发展，根据《物权法》、《担保法》、《商标法》和《商标法实施条例》的有关规定，制定本程序规定。
国家工商行政管理总局商标局负责办理注册商标专用权质权登记。

Article 2 Where a natural person, corporate body or any other organization pledges the exclusive right to his (its) registered trademark, the pledgor and the pledgee shall conclude a written contract and go through the pledge registration with the trademark bureau.
A pledge registration application shall be jointly filed by the pledgor and the pledgee. The pledgor and the pledgee may directly apply to the trademark bureau or may authorize a trademark agency to file an application. An alien who has no habitual domicile within China or a foreign enterprise which has no business premise within China shall authorize an agency to file an application.
| | 第二条 自然人、法人或者其他组织以其注册商标专用权出质的，出质人与质权人应当订立书面合同，并向商标局办理质权登记。
质权登记申请应由质权人和出质人共同提出。质权人和出质人可以直接向商标局申请，也可以委托商标代理机构代理。在中国没有经常居所或者营业场所的外国人或者外国企业应当委托代理机构办理。

Article 3 To register the pledge of the exclusive rights to a registered trademark, the pledgor shall also register the pledge of same or similar registered trademark on the same or similar commodities/services. The pledge contract and the pledge registration application shall indicate the registration number of the trademark under pledge.
| | 第三条 办理注册商标专用权质权登记，出质人应当将在相同或者类似商品/服务上注册的相同或者近似商标一并办理质权登记。质权合同和质权登记申请书中应当载明出质的商标注册号。

Article 4 To apply for registering the exclusive rights to registered trademarks, the applicant shall submit:
| | 第四条 申请注册商标专用权质权登记的，应提交下列文件：

1. An Application for the Pledge of Exclusive Rights to Trademarks, which shall bear the signature or seal of the applicant;
| | （一）申请人签字或者盖章的《商标专用权质权登记申请书》；
|
2. A certificate on the eligibility of the pledgor and pledgee, or a photocopy of the identity certificate of the natural person;
| | （二）出质人、质权人的主体资格证明或者自然人身份证明复印件；
|
3. The primary contract and the contract on the pledge of the exclusive rights to the registered trademarks;
| | （三）主合同和注册商标专用权质权合同；
|
4. A power of attorney and the identity certificates of the authorized persons if the pledgor and the pledgee apply to the trademark bureau directly or a power of attorney on trademark agency if they authorize a trademark agency to register;
