| For purposes of further implementing the Several Opinions of the State Council on Promoting Fair Market Competition and Maintaining the Normal Market Order (No. 20 [2014], State Council), accelerating the “three in one” registration system reform, and ensuring the implementation of the “three in one and one code for one license” registration mode on schedule, in accordance with the spirit of the Opinions of the General Office of the State Council on Accelerating the Progress of the “Three-in-One License” Registration System Reform (No. 50 [2015], State Council, hereinafter referred to as the “Opinions”) and the Notice of the State Council on Approving and Forwarding the General Plan of the National Development and Reform Commission and Other Departments on the Development of a Unified Social Credit Code System for Legal Persons and Other Organizations (No. 33 [2015], State Council, hereinafter referred to as the “Plan”), you are hereby notified of the relevant matters as follows: | | 为深入贯彻《国务院关于促进市场公平竞争维护市场正常秩序的若干意见》（国发〔2014〕20号），加快推进“三证合一”登记制度改革，确保“三证合一、一照一码”登记模式如期实施，按照《国务院办公厅关于加快推进“三证合一”登记制度改革的意见》（国办发〔2015〕50号，以下简称《意见》）和《国务院关于批转发展改革委等部门法人和其他组织统一社会信用代码制度建设总体方案的通知》（国发〔2015〕33号，以下简称《方案》）的文件精神，现就有关事项通知如下： |
| I. Unifying thoughts and enhancing understanding | | 一、统一思想，提高认识 |
| All relevant departments shall fully comprehend the great significance of the implementation of the “three in one” registration system reform to furthering market access rules and promoting the commercial affair system reform. Promoting the “three in one” registration system reform in a comprehensive manner is an important measure of implementing the spirit of the 18th National Congress of the Communist Party of China (“CPC”), the Second, Third and Fourth Plenary Sessions of the 18th CPC Central Committee, and an important channel for simplifying the administrative procedures and decentralizing powers, facilitating market access, encouraging investment and entrepreneurship, and stimulating the market's vitality. The implementation of the “three in one and one code for one license” registration mode can effectively promote the integration and combination of work of the relevant departments and sharing of internal information, further optimize the access procedures, reduce repetitive examination, and accelerate the formation of a new market access mode with more convenient procedures, perfect content, optimized process and centralized resources, and vigorously promote entrepreneurship and innovation by the people. | | 各相关部门要充分认识实行“三证合一”登记制度改革对深化市场准入制度、推进商事制度改革的重要意义。全面推行“三证合一”登记制度改革是贯彻落实党的十八大和十八届二中、三中、四中全会精神的重要举措，是简政放权、便利市场准入、鼓励投资创业、激发市场活力的重要途径。通过实施“三证合一、一照一码”登记模式，能够有效推动相关部门工作整合归并和内部信息共享，进一步优化准入流程、减少重复性审查，加快建立程序更为便利、内容更为完善、流程更为优化、资源更为集约的市场准入新模式，有力推动大众创业、万众创新。 |
| II. Giving prominence to key issues and unifying modes | | 二、突出重点，统一模式 |
| (1) Implementing the “three in one” registration system in a comprehensive manner, and implementing the “one code for one license” registration mode. In accordance with the requirements of the Opinions and the Plan, and the relevant laws and regulations and national standards, uniform registration flow, uniform coding and code assignment rules, among others, shall be established, and the “three in one and one code for one license” registration mode shall be implemented in a comprehensive manner. Through “acceptance by one window, interconnection and information sharing,” the issuance of different certificates and licenses by the three departments of administrative departments for industry and commerce, quality and technical supervision departments and tax authorities shall be changed to the issuance of business licenses with uploaded uniform social credit code (hereinafter collectively referred to as the “uniform code”) of legal persons and other organizations by the administrative departments for industry and commerce, and the organization code certificates and tax registration certificates for enterprises and farmers' specialized cooperatives (hereinafter collectively referred to as “enterprises”) will no longer be issued. | | （一）全面实施“三证合一”登记制度，实行“一照一码”登记模式。按照《意见》和《方案》要求，根据相关法律法规和国家标准，建立统一登记流程、统一编码和赋码规则等，全面实行“三证合一、一照一码”登记模式。通过“一窗受理、互联互通、信息共享”，将由工商行政管理、质量技术监督、税务三个部门分别核发不同证照，改为由工商行政管理部门核发加载法人和其他组织统一社会信用代码（以下称统一代码）的营业执照，企业和农民专业合作社（以下统称“企业”）的组织机构代码证和税务登记证不再发放。 |
| (2) Unifying registration conditions and regulating registration process. Adhering to administration by law, providing convenience for enterprises' handling of affairs and reducing administrative cost, the specifications for submitting materials on registration application documents (see the Annex for the format) shall be integrated and optimized under the principles of “preserving necessary materials, combining the same type of materials, and optimization and simplification.” Uniform registration conditions, registration procedures and specifications on registration application documents shall be implemented, the applicant only needs to fill out “one form” and submit “one set of materials” to “one window” when handling enterprise registration, and the registration department shall, after conducting examination, directly issue the business license with the uploaded uniform code, and publicize on the national enterprise credit information publication system. When handling cancellation, enterprises shall provide the “tax clearance certificates” issued by tax authorities. If networking conditions are met, tax authorities shall share the enterprises' tax clearance information to registration authorities for verification. Registration authorities shall share enterprises' basic registration information to tax (including cities under separate state planning), quality inspection (including cities under separate state planning and sub-provincial cities) and other relevant departments. | | （二）统一登记条件，规范登记流程。以依法行政、方便企业办事、降低行政成本为出发点，按照“保留必需、合并同类、优化简化”的原则，整合优化登记申请文书提交材料规范（样式附后）。实行统一的登记条件、登记程序和登记申请文书材料规范，申请人办理企业注册登记时只需填写“一表”，向“一个窗口”提交“一套材料”即可，登记部门审核后，直接核发加载统一代码的营业执照，并在全国企业信用信息公示系统公示。办理注销时，企业需提供税务部门开具的“清税证明”。具备联网条件的，税务机关应将企业清税信息共享给登记机关供登记机关核对用。登记机关将企业基本登记信息共享给税务（含计划单列市）、质检（含计划单列市、副省级市）等相关部门。 |
