| Interim Measures for the Administration of List of Enterprises with Serious Illegal and Dishonest Acts | | 严重违法失信企业名单管理暂行办法 |

| Article 1 For purposes of strengthening the administration of enterprises with serious illegal and dishonest acts, promoting law-abiding operation, integrity and self-discipline of enterprises, and expanding social supervision, these Measures are developed in accordance with the Interim Regulation on Enterprise Information Publication and other laws and regulations. | | 第一条 为加强对严重违法失信企业的管理，促进企业守法经营和诚信自律，扩大社会监督，依据《企业信息公示暂行条例》等法律法规，制定本办法。 |
| Article 2 For the purpose of these Measures, “enterprises with serious illegal and dishonest acts” means the enterprises that have seriously violated the laws and administrative regulations on industrial and commercial administration. | | 第二条 本办法所称严重违法失信企业，是指违反工商行政管理法律、行政法规且情节严重的企业。 |
| Article 3 For the purpose of these Measures, “administration of list of enterprises with serious illegal and dishonest acts” means the act of imposing credit constraints and departmental joint punishments on enterprises in the list of enterprises with serious illegal and dishonest acts, and making the information available to the public through the enterprise credit information publication system. | | 第三条 本办法所称严重违法失信企业名单管理，是指对列入严重违法失信企业名单的企业实施信用约束、部门联合惩戒，并通过企业信用信息公示系统向社会公示。 |
| Article 4 The State Administration for Industry and Commerce (“SAIC”) shall direct and organize the administration of list of enterprises with serious illegal and dishonest acts nationwide. | | 第四条 国家工商行政管理总局负责指导、组织全国的严重违法失信企业名单管理工作。 |
| The administrative departments for industry and commerce at the county level or above shall take charge of the administration of list of enterprises with serious illegal and dishonest acts within their respective jurisdictions. | | 县级以上工商行政管理部门负责本辖区的严重违法失信企业名单管理工作。 |
| For the purpose of these Measures, “administrative departments for industry and commerce” includes the market supervision and administration departments performing the function of industrial and commercial administration. | | 本办法所称工商行政管理部门，包括履行工商行政管理职能的市场监督管理部门。 |
| Article 5 Where an enterprise falls under any of the following circumstances, the administrative department for industry and commerce at the country level or above shall include it in the list of enterprises with serious illegal and dishonest acts for administration: | | 第五条 企业有下列情形之一的，由县级以上工商行政管理部门列入严重违法失信企业名单管理： |
| (1) It fails to fulfill relevant obligations for three years after it is included in the list of enterprises with abnormal operations. | | （一）被列入经营异常名录届满3年仍未履行相关义务的； |
| (2) It has undergone company modification or cancellation registration by providing false materials or by taking any other fraudulent means to conceal major facts, and the registration is revoked afterwards. | | （二）提交虚假材料或者采取其他欺诈手段隐瞒重要事实，取得公司变更或者注销登记，被撤销登记的； |
| (3) It organizes or plans pyramid sale, or has been given administrative punishment three or more times within two years for facilitating pyramid sale. | | （三）组织策划传销的，或者因为传销行为提供便利条件两年内受到三次以上行政处罚的； |
| (4) It has been given administrative punishment three or more times within two years for violations in terms of direct selling. | | （四）因直销违法行为两年内受到三次以上行政处罚的； |
| (5) It has been given administrative punishment three or more times within two years for unfair competition. | | （五）因不正当竞争行为两年内受到三次以上行政处罚的； |
| (6) It has been given administrative punishment three or more times within two years for personal injury or any other illegal act of seriously infringing upon consumer rights and interests as a result of failure to provide commodities or services meeting the requirements for guaranteeing personal and property safety. | | （六）因提供的商品或者服务不符合保障人身、财产安全要求，造成人身伤害等严重侵害消费者权益的违法行为，两年内受到三次以上行政处罚的； |
| (7) It has been given administrative punishment three or more times within two years for releasing false advertisements, or has caused personal injury or other serious adverse social impacts due to release of false advertisements of commodities or services concerning life and health of consumers. | | （七）因发布虚假广告两年内受到三次以上行政处罚的，或者发布关系消费者生命健康的商品或者服务的虚假广告，造成人身伤害的或者其他严重社会不良影响的； |
| (8) It has been given administrative punishment two or more times within five years for trademark infringement. | | （八）因商标侵权行为五年内受到两次以上行政处罚的； |
| (9) It is ordered upon a decision to stop providing trademark agency services. | | （九）被决定停止受理商标代理业务的； |
| (10) Other serious violations of laws and administrative regulations on industrial and commercial administration as prescribed by the SAIC. | | （十）国家工商行政管理总局规定的其他违反工商行政管理法律、行政法规且情节严重的。 |
