| For the purposes of further supporting the high-quality development of foreign-funded research and development centers in Shanghai and promoting foreign-funded research and development centers' better integration into the construction of the Shanghai Science and Technology Innovation System, the Shanghai Municipal Commission of Commerce has developed the Provisions of Shanghai Municipality on Encouraging the Formation of Foreign-funded Research and Development Centers, which are hereby issued for your compliance and implementation. | | 为进一步支持外资研发中心在沪高质量发展，促进外资研发中心更好融入上海科创体系建设，市商务委制定了《上海市鼓励设立外资研发中心的规定》，现印发给你们，请按照执行。 |

| Article 1 (Purpose and basis) | | 第一条 （目的和依据） |
| For the purposes of further expanding the opening up, enhancing Shanghai's functions as a global resource allocator and a source of scientific and technological innovation, and encouraging foreign investors to form research and development centers in this Municipality, in accordance with the laws and regulations such as the Foreign Investment Law of the People's Republic of China, the Regulation for Implementing the Foreign Investment Law of the People's Republic of China, the Regulations of Shanghai Municipality on Foreign Investment, and the Regulation of Shanghai Municipality on Advancing the Construction of a Scientific and Technological Innovation Center, these Provisions are developed. | | 为进一步扩大开放，增强上海全球资源配置和科技创新策源功能，鼓励外国投资者在我市设立研发中心，根据《中华人民共和国外商投资法》《中华人民共和国外商投资法实施条例》《上海市外商投资条例》《上海市推进科技创新中心建设条例》等法律法规，制定本规定。 |

| A foreign-funded research and development center is an institution formed by a foreign investor to carry out research and development and experimental development (including intermediate tests for research and development activities) in natural science and related scientific and technological fields. The research and development content includes basic research, research on product application, and high-tech research, among others. | | 外资研发中心是外国投资者设立、从事自然科学及其相关科技领域的研究开发和实验发展（包括为研发活动服务的中间试验）的机构，研发内容包括基础研究、产品应用研究、高科技研究等。 |
