| Article 1 This Law is enacted in accordance with the Constitution for the purposes of advancing high-level opening up, promoting the high-quality development of foreign trade, maintaining the order of foreign trade, protecting the lawful rights and interests of foreign trade operators, promoting the sound development of the socialist market economy, and safeguarding national sovereignty, security, and development interests. | | 第一条 为了推进高水平对外开放，推动对外贸易高质量发展，维护对外贸易秩序，保护对外贸易经营者合法权益，促进社会主义市场经济健康发展，维护国家主权、安全、发展利益，根据宪法，制定本法。 |
| Article 2 This Law is applicable to foreign trade and the protection of intellectual property rights related to foreign trade. | | 第二条 本法适用于对外贸易以及与对外贸易有关的知识产权保护。 |

| Article 4 The foreign trade department of the State Council shall be in charge of the administration of foreign trade nationwide in accordance with this Law. | | 第四条 国务院对外贸易主管部门依照本法主管全国对外贸易工作。 |
| Article 5 The state implements a uniform system of foreign trade, encourages the development of foreign trade, and maintains a fair and free order of foreign trade. | | 第五条 国家实行统一的对外贸易制度，鼓励发展对外贸易，维护公平、自由的对外贸易秩序。 |
| Article 6 The state proactively aligns with international high-standard economic and trade rules, actively participates in the formulation of international economic and trade rules, safeguards the multilateral trading system and a fair and impartial order of international economic and trade, expands the network of high-standard free trade zones, optimizes the environment for opening up and cooperation, and promotes the building of an open world economy. | | 第六条 国家主动对接国际高标准经济贸易规则，积极参与国际经济贸易规则制定，维护多边贸易体制和公平公正的国际经济贸易秩序，扩大高标准自由贸易区网络，优化开放合作环境，推动建设开放型世界经济。 |
| Article 7 The state establishes a trade policy compliance mechanism that is aligned with internationally accepted rules. | | 第七条 国家建立同国际通行规则衔接的贸易政策合规机制。 |
| When formulating policy measures involving foreign trade and intellectual property rights related to foreign trade and other aspects, departments of the State Council and local people's governments at and above the county level and their departments shall carry out trade policy compliance assessments in accordance with relevant provisions issued by the state. | | 国务院部门、县级以上地方人民政府及其部门在制定涉及对外贸易、与对外贸易有关的知识产权等方面的政策措施时，应当按照国家有关规定开展贸易政策合规评估。 |
| Article 8 The People's Republic of China, under the principles of equality and mutual benefit, promotes and develops trade relations with other countries and regions, concludes or accedes to regional economic and trade agreements such as customs union agreements and free trade zone agreements, and joins regional economic organizations. | | 第八条 中华人民共和国根据平等互利的原则，促进和发展同其他国家和地区的贸易关系，缔结或者参加关税同盟协定、自由贸易区协定等区域经济贸易协定，参加区域经济组织。 |
| Article 9 In the field of foreign trade, the People's Republic of China, in accordance with the international treaties or agreements it has concluded or acceded to, grants the most-favored-nation treatment, national treatment, or other treatment to other contracting parties or members, or under the principle of mutual benefit and reciprocity, grants the other party the most-favored-nation treatment, national treatment, or other treatment. | | 第九条 中华人民共和国在对外贸易方面根据所缔结或者参加的国际条约、协定，给予其他缔约方、参加方最惠国待遇、国民待遇等待遇，或者根据互惠、对等原则给予对方最惠国待遇、国民待遇等待遇。 |
| Article 10 Where any country or region adopts any prohibitive, restrictive, or other similar discriminatory measures against the People's Republic of China in trade, the People's Republic of China may take the corresponding measures against the aforesaid country or region according to actual circumstances. | | 第十条 任何国家或者地区在贸易方面对中华人民共和国采取歧视性的禁止、限制或者其他类似措施的，中华人民共和国可以根据实际情况对该国家或者该地区采取相应的措施。 |
| Chapter II Foreign Trade Operators | | 第二章 对外贸易经营者 |
| Article 11 For the purposes of this Law, “foreign trade operator” means an individual or organization that has legally undergone registration as a business entity or other practicing formalities and engages in foreign trade activities in accordance with the provisions of this Law and other relevant laws and administrative regulations. | | 第十一条 本法所称对外贸易经营者，是指依法办理经营主体登记或者其他执业手续，依照本法和其他有关法律、行政法规的规定从事对外贸易活动的个人、组织。 |
| Article 12 Whoever engages in foreign labor service cooperation shall obtain the qualification for engaging in foreign labor service cooperation in accordance with the law. The specific measures shall be developed by the State Council. | | 第十二条 从事对外劳务合作，应当依法取得对外劳务合作经营资格。具体办法由国务院规定。 |
| Whoever engages in overseas contracted projects shall undergo recordation in accordance with relevant provisions issued by the state; and if approval is required by the provisions of any law or administrative regulation, the relevant provisions shall apply. | | 从事对外承包工程，应当按照国家有关规定进行备案；法律、行政法规规定需要经过批准的，依照有关规定。 |
| Article 13 The state may implement state trading on the import and export of certain goods. The import and export of goods subject to state trading shall be undertaken by authorized enterprises only, unless the state allows the import or export of a certain quantity of such goods by unauthorized enterprises. | | 第十三条 国家可以对部分货物的进出口实行国营贸易管理。实行国营贸易管理货物的进出口业务只能由经授权的企业经营；但是，国家允许部分数量的国营贸易管理货物的进出口业务由非授权企业经营的除外。 |
| The catalogs of the goods subject to state trading and the authorized enterprises shall be determined, adjusted, and published by the foreign trade department of the State Council in conjunction with other relevant departments of the State Council. | | 实行国营贸易管理的货物和经授权经营企业的目录，由国务院对外贸易主管部门会同国务院其他有关部门制定、调整并发布。 |
| Where, in violation of paragraph 1 of this Article, the goods subject to state trading are imported or exported without authorization, the Customs shall not grant release. | | 违反本条第一款规定，擅自进出口实行国营贸易管理的货物的，海关不予放行。 |
| Article 14 A foreign trade operator may accept others' authorization to conduct foreign trade as an agent within its business scope. | | 第十四条 对外贸易经营者可以接受他人的委托，在经营范围内代为办理对外贸易业务。 |
| Article 15 A foreign trade operator shall submit the documents and materials related to its foreign trade activities to the relevant departments in accordance with the provisions developed by the foreign trade department of the State Council or other relevant departments of the State Council in accordance with the law. Relevant departments shall keep confidential the trade secrets of the operator that submits the documents and materials. | | 第十五条 对外贸易经营者应当按照国务院对外贸易主管部门或者国务院其他有关部门依法作出的规定，向有关部门提交与其对外贸易经营活动有关的文件及资料。有关部门应当为提供者保守商业秘密。 |
| Chapter III Import and Export of Goods and Technologies | | 第三章 货物进出口与技术进出口 |
| Article 16 The state permits the free import and export of goods and technologies, except as otherwise provided by any law or administrative regulation. | | 第十六条 国家准许货物与技术的自由进出口。但是，法律、行政法规另有规定的除外。 |
| Article 17 The foreign trade department of the State Council may, as needed for the monitoring of import and export, implement an automatic import and export licensing system for certain goods subject to free import and export and publish the catalog thereof. | | 第十七条 国务院对外贸易主管部门基于监测进出口情况的需要，可以对部分自由进出口的货物实行进出口自动许可并发布其目录。 |
| For the import and export of goods subject to automatic licensing, if the consignee or consignor applies for automatic licensing before undergoing customs declaration formalities, the foreign trade department of the State Council or the institution authorized by it shall grant licensing. The Customs shall handle inspection and release formalities based on the submitted automatic licensing certificate. | | 实行自动许可的进出口货物，收货人、发货人在办理海关报关手续前提出自动许可申请的，国务院对外贸易主管部门或者其委托的机构应当予以许可；海关凭提交的自动许可证明，办理验放手续。 |
| In the case of the import and export of technologies subject to free import and export, the contracts thereof shall be filed for registration with the foreign trade department of the State Council or the institution authorized by it. | | 进出口属于自由进出口的技术，应当向国务院对外贸易主管部门或者其委托的机构办理合同备案登记。 |
| Article 18 The state may, for the following reasons, prohibit or restrict the import or export of relevant goods or technologies, or take other necessary measures: | | 第十八条 国家基于下列原因，可以禁止或者限制有关货物、技术进出口，或者采取其他必要的措施： |
| (1) It is necessary to safeguard national security, public interest, or public morality. | | （一）为维护国家安全、社会公共利益或者公共道德的； |
| (2) It is necessary to protect human health or safety, protect the life or health of animals and plants, or protect the environment. | | （二）为保护人的健康或者安全，保护动物、植物的生命或者健康，保护环境的； |
| (3) It is necessary to take the measures relating to the import or export of gold or silver. | | （三）为实施与黄金或者白银进出口有关的措施的； |
| (4) There is a domestic shortage in supply, or it is necessary to effectively protect exhaustible natural resources. | | （四）国内供应短缺或者为有效保护可能用竭的自然资源的； |
| (5) The market capacity of the importing country or region is limited. | | （五）输往国家或者地区的市场容量有限的； |
| (6) There is a serious disorder in export. | | （六）出口秩序出现严重混乱的； |
| (7) It is necessary to establish or accelerate the establishment of a particular domestic industry. | | （七）为建立或者加快建立国内特定产业的； |
| (8) It is necessary to restrict the import of any form of agricultural, animal husbandry, or fishery products. | | （八）对任何形式的农业、畜牧业、渔业产品有必要限制进口的； |
| (9) It is necessary to safeguard the state's international financial status and balance of payments. | | （九）为保障国家国际金融地位和国际收支平衡的； |
| (10) It is necessary to prohibit or restrict the import or export of relevant goods or technologies or to take other necessary measures under other circumstances in accordance with the provisions of laws or administrative regulations. | | （十）依照法律、行政法规的规定，其他需要禁止或者限制有关货物、技术进出口，或者采取其他必要措施的； |
| (11) It is necessary to prohibit or restrict the import or export of relevant goods or technologies or to take other necessary measures under other circumstances according to the provisions of any international treaty or agreement that China has concluded or acceded to. | | （十一）根据中华人民共和国缔结或者参加的国际条约、协定的规定，其他需要禁止或者限制有关货物、技术进出口，或者采取其他必要措施的； |
| (12) It is necessary to prohibit or restrict the import and export of relevant goods or technologies or to take other necessary measures under other circumstances. | | （十二）其他需要禁止或者限制有关货物、技术进出口，或者采取其他必要措施的。 |
| Article 19 With respect to the import and export of the goods or technologies relating to fissile or fusion materials or the substances from which such materials are derived, as well as the import and export relating to arms, ammunition, or other military supplies, the state may take any necessary measures to safeguard national security. | | 第十九条 国家对与裂变、聚变物质或者衍生此类物质的物质有关的货物、技术进出口，以及与武器、弹药或者其他军用物资有关的进出口，可以采取任何必要的措施维护国家安全。 |
| In wartime or under other emergencies in international relations, or for the purpose of safeguarding international peace and security, the state may take any necessary measures in respect of the import and export of goods or technologies. | | 在战时或者国际关系中的其他紧急情况下，或者为维护国际和平与安全，国家在货物、技术进出口方面可以采取任何必要的措施。 |
| Article 20 The foreign trade department of the State Council shall, in conjunction with other relevant departments of the State Council, develop, adjust, and publish the catalogs of goods or technologies of which the import or export is prohibited or restricted in accordance with the provisions of Articles 18 and 19 of this Law. | | 第二十条 国务院对外贸易主管部门会同国务院其他有关部门，依照本法第十八条和第十九条的规定，制定、调整并发布禁止或者限制进出口的货物、技术目录。 |
| With the approval of the State Council and within the scope prescribed by Articles 18 and 19 of this Law, the foreign trade department of the State Council may, either independently or in conjunction with other relevant departments of the State Council, decide, on a temporary basis, to restrict or prohibit the import or export of specific goods or technologies other than those listed in the catalog as referred to in the preceding paragraph. | | 国务院对外贸易主管部门或者由其会同国务院其他有关部门，经国务院批准，可以在本法第十八条和第十九条规定的范围内，临时决定禁止或者限制前款规定目录以外的特定货物、技术的进出口。 |
| Article 21 The state implements control in forms such as quota and licensing on the goods of which the import or export is restricted. The state implements licensing control on the technologies of which the import or export is restricted. | | 第二十一条 国家对限制进出口的货物，实行配额、许可证等方式管理；对限制进出口的技术，实行许可证管理。 |
| The goods and technologies subject to quota and/or licensing control may only be imported or exported with the approval granted by the foreign trade department of the State Council independently or in conjunction with other relevant departments of the State Council in accordance with the provisions issued by the State Council. | | 实行配额、许可证管理的货物、技术，应当按照国务院规定经国务院对外贸易主管部门或者经其会同国务院其他有关部门许可，方可进口或者出口。 |
| The state may implement tariff-rate quota control on certain imported and exported goods. | | 国家对部分进出口货物可以实行关税配额管理。 |
| Article 22 The quotas and tariff-rate quotas for imported and exported goods shall be allocated by the foreign trade department of the State Council or other relevant departments of the State Council within the scope of their respective duties under the principles of openness, fairness, impartiality, and efficiency. The specific measures shall be developed by the State Council. | | 第二十二条 进出口货物配额、关税配额，由国务院对外贸易主管部门或者国务院其他有关部门在各自的职责范围内，按照公开、公平、公正和效益的原则进行分配。具体办法由国务院规定。 |
| Article 23 A foreign trade operator may engage in processing trade in accordance with the law, import all or part of the materials and parts, and then re-export the finished products after processing, assembly, or repair. | | 第二十三条 对外贸易经营者可以依法开展加工贸易，进口全部或者部分料件，经加工、装配或者维修后将制成品复出口。 |
| Where the state has imposed prohibitions or restrictions on the goods under processing trade, a foreign trade operator shall comply with them. The foreign trade department of the State Council shall, in conjunction with other relevant departments of the State Council, formulate, adjust, and publish the catalog of prohibited and restricted goods under processing trade. | | 国家对加工贸易货物有禁止或者限制规定的，对外贸易经营者应当遵守。国务院对外贸易主管部门会同国务院其他有关部门制定、调整并发布加工贸易禁止、限制类货物目录。 |
| If the imported materials and parts or finished products under processing trade cannot be re-exported, they may be sold on the domestic market in accordance with the law. The quota certificate, license, or tariff-rate quota certificate shall be obtained if the imported materials and parts or finished products under processing trade sold on the domestic market are subject to quota and/or licensing control or tariff-rate quota control. | | 加工贸易进口料件或者制成品无法复出口的，可以依法转为内销。转为内销的加工贸易进口料件或者制成品，属于实行配额、许可证管理或者关税配额管理货物的，应当取得配额证明、许可证或者关税配额证明。 |
| Article 24 The state implements a uniform commodity conformity assessment system. The certification, inspection, and quarantine of imported and exported commodities shall be conducted in accordance with the provisions of relevant laws and administrative regulations. | | 第二十四条 国家实行统一的商品合格评定制度，进出口商品的认证、检验、检疫依照有关法律、行政法规的规定进行。 |
| Article 25 The state applies rules of origin to imported and exported goods. The origin of imported and exported goods shall be specifically determined in accordance with relevant laws and the provisions issued by the State Council and its relevant departments. | | 第二十五条 国家对进出口货物进行原产地管理。进出口货物原产地的具体确定，依照有关法律和国务院及其有关部门的规定执行。 |
| Article 26 Where the import or export of cultural relics, wild animals and plants and their products, among others, is prohibited or restricted by any other law or administrative regulation, the provisions of the relevant law or administrative regulation shall apply. | | 第二十六条 对文物和野生动物、植物及其制品等，其他法律、行政法规有禁止或者限制进出口规定的，依照有关法律、行政法规的规定执行。 |
