| | 原审法院审理认为：甘肃陇渤公司的股东窑街煤电甘肃金能工贸有限公司（以下简称金能公司）与庆阳陇原公司于2012年10月22日形成《股东会第二次会议决议》，决议解散甘肃陇渤公司，并由清算组对甘肃陇渤公司进行清算，甘肃陇渤公司由此进入清算期间，甘肃陇渤公司作为企业法人的权利能力受限，其不能再以自己名义参与民事诉讼活动，故依照《中华人民共和国公司法》第一百八十五条第（七）项之规定，裁定：驳回甘肃陇渤煤机修造股份有限公司的起诉。案件受理费14372元，退还甘肃陇渤煤机修造股份有限公司。 |
| | 甘肃陇渤公司不服上述民事裁定，向本院提起上诉称，1．上诉人股东虽决议解散公司，但并未成立清算组，上诉人为维护其合法权益，只能以自身名义起诉。2．上诉人仍在进行正常的生产经营活动。首先，2012年10月22日的陇渤公司第二次股东会决议明确了清退资金到位之前，陇渤公司的生产经营工作仍由金能公司负责，陇渤公司两个股东确认了陇渤公司正常生产经营的地位，陇渤公司持续经营符合股东会决议。其次，上诉人在2013年4月22日，与被上诉人、窑街煤电甘肃金能工贸有限责任公司签订了《关于甘肃陇渤煤机修造公司股东双方终止合作经营有关事项的协议》，被上诉人违反协议约束，干扰上诉人正常生产，造成巨大损失，应承担相应的赔偿责任。3．上诉人起诉实质是为维护公司股东、债权人的合法权益。请求依法撤销原审裁定，查明事实，并发回重审，诉讼费用由被上诉人承担。 |
