为贯彻落实《国务院关于进一步优化企业兼并重组市场环境的意见》（国发〔2014〕14号）及相关文件精神，拓宽企业并购重组融资渠道，保护投资者合法权益，本所制定了《深圳证券交易所关于开展并购重组私募债券业务试点有关事项的通知》，经中国证监会批准，现予以发布并施行。

各相关单位：

为贯彻落实《国务院关于进一步优化企业兼并重组市场环境的意见》（国发〔2014〕14号）及相关文件精神，拓宽企业并购重组融资渠道，保护投资者合法权益，现将本所开展并购重组私募债券业务试点的有关事项通知如下：

　　一、本通知所称并购重组私募债券（以下简称“并购债”），是指在中国境内注册的公司制法人为开展并购重组活动，在中国境内以非公开方式发行和转让，约定在一定期限还本付息的公司债券。

　　二、并购债在深圳证券交易所（以下简称“本所”）进行转让的，在发行前应当向本所备案。

　　三、在本所备案的并购债，应当符合以下条件：

（一）发行人是在中国境内注册的有限责任公司或者股份有限公司，但暂不包括深沪两所上市公司；
