| Your Request of the China Branches of Bank of America Corporation for Instructions on the Special Accounts for Expendable Settled Foreign Exchange Opened for Domestic Agencies for Domestic Individuals to Participate in the Equity Incentive Plans of Overseas Listed Companies has been received. | I. The China branches of Bank of America Corporation are hereby granted approval to open special accounts for expendable settled foreign exchange (RMB accounts, see Annex for the scope of receipts and payments thereof) for domestic agencies for domestic individuals to participate in the equity incentive plans of overseas listed companies (hereinafter referred to as the “equity incentive plans”), which must correspond to the equity incentive plans represented by such agencies and are used for the exchange, remittance and transfer of relevant funds for the equity incentive plans. | | 一、同意美国银行有限公司中国区分行为境内个人参与境外上市公司股权激励计划（以下简称股权激励计划）的境内代理机构开立与其代理的股权激励计划相对应的结汇待支付专用账户（人民币账户，账户收支范围见附件），用于办理股权激励计划相关资金汇兑与划转。 |
