| Based on the laws and regulations on foreign investment, the Framework Plan for China (Shanghai) Pilot Free Trade Zone, and the Catalogue of Industries for Guiding Foreign Investment (2011 Revision), among others, the Special Management Measures (Negative List) for Foreign Investment in China (Shanghai) Pilot Free Trade Zone (2013) (hereinafter referred to as the “Negative List”) set out the access measures inconsistent with the national treatment which are applicable to foreign-funded projects and the establishment of foreign-funded enterprises in China (Shanghai) Pilot Free Trade Zone (hereinafter referred to as the “SHFTZ”). The Negative List is prepared in accordance with the Classification and Codes of Industries in National Economy (2011), and covers 18 industries. | In the fields outside of the Negative List, the confirmation system for foreign-funded projects shall be replaced with the recordation system (except for domestic investment projects which the State Council reserves the right to confirm); and the approval system for contracts and bylaws of foreign-funded enterprises shall be replaced with recordation administration. | | 对负面清单之外的领域，将外商投资项目由核准制改为备案制（国务院规定对国内投资项目保留核准的除外）；将外商投资企业合同章程审批改为备案管理。 |
| In addition to the special management measures for foreign investment set out in the Negative List, foreign investors shall be prohibited (restricted) from investing in an industry in which such investment is prohibited (or restricted) by China or any international treaty concluded or acceded to by China, foreign investors shall be prohibited from investing in a project which jeopardizes national security or public security, and foreign investors shall be prohibited from engaging in business which damages public interest. | | 除列明的外商投资准入特别管理措施，禁止（限制）外商投资国家以及中国缔结或者参加的国际条约规定禁止（限制）的产业，禁止外商投资危害国家安全和社会安全的项目，禁止从事损害社会公共利益的经营活动。 |
In SHFTZ, acquisitions and mergers by foreign investors, foreign investors' strategic investment in listed companies, and overseas investors' capital contribution with equity held in enterprises within China shall satisfy the requirements of the relevant provisions; and if national security review or anti-monopoly review is involved, the review shall be conducted according to the relevant provisions.
