| On February 21, 2013, Sinochem (Singapore) Pte. Ltd (hereinafter referred to as “Sinochem Pte. Ltd”) and Shenyang Dongfang Steel Co., Ltd. (hereinafter referred to as “Shenyang Dongfang Company”) signed a Sales Contract for iron core fines and Sinochem Pte. Ltd obtained an order bill of lading after entrusting the cargo transport (means of transport: the ship “BLUE MOON”). Since Shenyang Dongfang Company did not make payment for goods, on September 30, 2013, Sinochem Pte. Ltd resold the cargoes to Sinochem International (Holding) Co., Ltd. (hereinafter referred to as “Sinochem Company”) and Sinochem Company exchanged the bill of lading for a delivery note and paid the customs offices the customs duties. After the iron core fines carried by the ship “BLUE MOON” arrived at the Dalian Port, they were unloaded at the ore terminal of Dalian Port (PDA) Co., Ltd. (hereinafter referred to as “PDA Company”) and PDA Company provided warehousing and custody according to the Contract for Entrusted Port Operation and a single Contract for Port Operation. Afterwards, based on the certificate of transfer of cargoes provided by Shenyang Dongfang Company and the Warehousing Contract signed by and between Shenyang Dongfang Company and CRM (Harbin) Co., Ltd. (hereinafter referred to as “CRM Company”), PDA Company issued a warehousing certificate to CRM Company. As to the ownership of the cargoes involved, it was confirmed in the effective judgment that the cargoes involved were owned by Sinochem Company. Sinochem Company requested that PDA Company should provide cooperation in taking delivery of the cargoes involved, but it was refused and it thus filed a lawsuit with the Dalian Maritime Court. | | 2013年2月21日，中化国际（新加坡）有限公司（以下简称中化新加坡公司）与沈阳东方钢铁有限公司（以下简称沈阳东方公司）签订铁矿粉《买卖合同》，中化新加坡公司将货物委托运输（运输工具为“蓝月亮”轮）后取得指示提单。因沈阳东方公司未支付货款，中化新加坡公司于2013年9月30日将货物转卖给中化国际（控股）股份有限公司（以下简称中化公司），中化公司以提单换取了提货单，并向海关缴纳了关税。“蓝月亮”轮承载的铁矿粉运至大连港后卸于大连港股份有限公司（以下简称大连港公司）的矿石码头，由大连港公司依据其与沈阳东方公司签订的《委托港口作业合同》及单次《港口作业合同》仓储保管。其后，大连港公司根据沈阳东方公司提供的货物过户证明和其与中国铁路物资哈尔滨有限公司（以下简称中铁公司）签订的《仓储合同》向中铁公司出具了入库证明。就涉案货物的所有权，生效裁判文书确认属于中化公司所有。中化公司要求大连港公司配合提取货物被拒，遂诉至大连海事法院。 |

| | 大连海事法院一审认为，仓储合同不以存货人是仓储物的所有权人为前提，沈阳东方公司与大连港公司之间的《委托港口作业合同》及单次《港口作业合同》均为有效合同。大连港公司向中铁公司出具的入库证明应当被认定为仓单，仓单记载的存货人和仓单持有人均是中铁公司。进口货物提货人应当提供仓单和加盖海关放行章的提货单才能提取货物。取得加盖海关放行章的提货单的是中化公司。向大连港公司出示仓单的人与出示提货单的人不一致，致使港口货物保管合同无法继续履行。生效判决书确认中化公司对货物具有所有权，依照《中华人民共和国物权法》（以下简称物权法）第三十九条规定，大连港公司在无法履行港口货物保管合同约定的货物交付义务的情况下，应当依据货物所有权人的要求将货物交付给中化公司。遂判决大连港公司将“蓝月亮”轮卸下的B/LNo.6提单项下的25828湿吨铁矿粉交付给中化公司。大连港公司不服一审判决向辽宁省高级人民法院提起上诉。 |
