[Basic Facts] 基本案情
On January 25, 2013, Tianjin [REDACTED] Hotel Management Company and Hong Kong [REDACTED] Company entered into a Management Contract, stipulating that the contract shall be subject to interpretation in accordance with the laws of the Chinese mainland. The arbitration clause stipulates that any dispute arising therefrom shall be "resolved through arbitration by the ICC in accordance with the ICC Arbitration Rules (or any similar subsequent rules) in force on the date of receipt of the notice of arbitration, with the ICC as the designated institution and Hong Kong as the place of arbitration." Tianjin [REDACTED] Hotel Management Company deemed that the "ICC" as set forth in the aforesaid clause did not have arbitration functions and there was no arbitration institution like the ICC. Therefore, it filed an application with the people's court for confirming invalidity of the arbitration clause. 天津某酒店管理公司与香港某公司于2013年1月25日签订《管理合同》,约定该合同根据内地法律解释,在仲裁条款中则约定产生纠纷“由国际商会依照在收到仲裁通知之日有效的国际商会仲裁规则(或其类似的后续规则)通过仲裁加以解决。指定机构为国际商会。仲裁地点为香港”。天津某酒店管理公司认为上述条款中的“国际商会”不具备仲裁职能,亦不存在“国际商会”这一仲裁机构,故向法院申请确认仲裁条款无效。
[Judgment] 裁判结果
The First Intermediate People's Court of Tianjin Municipality held that the Management Contract signed by and between Tianjin [REDACTED] Hotel Management Company and Hong Kong [REDACTED] Company only stipulated the applicable law of the Contract, but such applicable law should not serve as the applicable law to determine the validity of an arbitration clause in the Contract; instead, the law of the place of arbitration, namely, the Hong Kong law, should be applicable to determine the validity of the arbitration clause. Under the provisions of the Hong Kong Arbitration Ordinance, the validity of an arbitration clause depends on the intention of the parties to resolve a dispute by arbitration. In this case, there was an expression of intention of both parties to resolve any dispute by arbitration in the arbitration clause signed by and between Tianjin [REDACTED] Hotel Management Company and Hong Kong [REDACTED] Company. It should be determined as a valid arbitration clause. Therefore, the Court ruled to dismiss the application of Tianjin [REDACTED] Hotel Management Company for confirming the invalidity of the arbitration agreement. 天津市第一中级人民法院认为,天津某酒店管理公司与香港某公司签订的《管理合同》中仅约定了合同适用的法律,不能作为确认合同中仲裁条款效力适用的法律,应适用约定仲裁地的法律即香港法律判断仲裁条款效力。根据香港《仲裁条例》规定,仲裁条款效力取决于当事人将争议交付仲裁的意思表示。本案中,天津某酒店管理公司与香港某公司签订的仲裁条款具备当事人将争议交付仲裁的意思表示,应认定为有效仲裁条款,遂裁定驳回天津某酒店管理公司要求确认仲裁协议无效的申请。
