| For the purposes of further specifying the standards and procedures for the examination of the mergers, acquisitions and restructurings of companies listed on the STAR Market of the Shanghai Stock Exchange (hereinafter referred to as the “SSE”), and enhancing the transparency of the examination of restructurings, in accordance with the Measures for the Administration of the Material Asset Restructurings of Listed Companies, the Special Provisions on the Material Asset Restructurings of Companies Listed on the STAR Market, the Guidelines for the Application of Regulatory Rules—Listing No. 1, the Rules of the Shanghai Stock Exchange for the Examination of the Material Asset Restructurings of Companies Listed on the STAR Market, and other applicable provisions, the Guidelines No. 2 for the Application of the Rules of the Shanghai Stock Exchange for the Examination of Offering and Listing on the STAR Market—Standards for the Examination of the Material Asset Restructurings of Listed Companies and Relevant Matters (see the Annex for details) are developed and hereby issued, and shall come into force on the date of issuance. | | 为进一步明确上海证券交易所（以下简称本所）科创板上市公司并购重组审核标准和程序，提高重组审核工作透明度，根据《上市公司重大资产重组管理办法》《科创板上市公司重大资产重组特别规定》《监管规则适用指引--上市类第1号》《上海证券交易所科创板上市公司重大资产重组审核规则》等规定，制定了《上海证券交易所科创板发行上市审核规则适用指引第2号--上市公司重大资产重组审核标准及相关事项》（详见附件），现予以发布，并自发布之日起施行。 |
