The Decision of the Standing Committee of the National People's Congress to Amend the Anti-monopoly Law of the People's Republic of China, as adopted at the 35th Session of the Standing Committee of the Thirteenth National People's Congress of the People's Republic of China on June 24, 2022, is hereby issued, and shall come into force on August 1, 2022. 《全国人民代表大会常务委员会关于修改<中华人民共和国反垄断法>的决定》已由中华人民共和国第十三届全国人民代表大会常务委员会第三十五次会议于2022年6月24日通过,现予公布,自2022年8月1日起施行。

Decision of the Standing Committee of the National People's Congress to Amend the Anti-monopoly Law of the People's Republic of China 全国人民代表大会常务委员会关于修改《中华人民共和国反垄断法》的决定
(Adopted at the 35th Session of the Standing Committee of the Thirteenth National People's Congress on June 24, 2022) (2022年6月24日第十三届全国人民代表大会常务委员会第三十五次会议通过)
As decided at the 35th Session of the Standing Committee of the Thirteenth National People's Congress, the Anti-monopoly Law of the People's Republic of China is amended as follows: 第十三届全国人民代表大会常务委员会第三十五次会议决定对《中华人民共和国反垄断法》作如下修改:
I. Article 4 is amended to read: "The anti-monopoly work shall adhere to the leadership of the Communist Party of China.   一、将第四条修改为:“反垄断工作坚持中国共产党的领导。
"The state shall adhere to the principles of market orientation and the rule of law, strengthen the fundamental status of competition policies, develop and implement competition rules suitable for the socialist market economy, enhance the macro control, and improve the united, open, competitive, and orderly market system." “国家坚持市场化、法治化原则,强化竞争政策基础地位,制定和实施与社会主义市场经济相适应的竞争规则,完善宏观调控,健全统一、开放、竞争、有序的市场体系。”
II. One article is added as Article 5: "The state shall establish and improve a fair competition review system.   二、增加一条,作为第五条:“国家建立健全公平竞争审查制度。
"In developing provisions involving the economic activities of market participants, administrative agencies and organizations empowered by a law or regulation to administer public affairs shall conduct a fair competition review." “行政机关和法律、法规授权的具有管理公共事务职能的组织在制定涉及市场主体经济活动的规定时,应当进行公平竞争审查。”
III. One article is added as Article 9: "An undertaking shall not engage in any monopolistic conduct prohibited by this Law by utilizing data and algorithm, technology, capital advantage, or platform rules, among others."   三、增加一条,作为第九条:“经营者不得利用数据和算法、技术、资本优势以及平台规则等从事本法禁止的垄断行为。”
IV. One article is added as Article 11: "The state shall improve and enhance anti-monopoly rules and systems, increase anti-monopoly regulatory forces, raise the levels of regulatory capacity and modernization of the regulatory system, strengthen anti-monopoly law enforcement and administration of justice, try monopoly cases in a fair and efficient manner in accordance with the law, improve the mechanism for connecting agency enforcement actions and administration of justice, and maintain orderly fair competition."   四、增加一条,作为第十一条:“国家健全完善反垄断规则制度,强化反垄断监管力量,提高监管能力和监管体系现代化水平,加强反垄断执法司法,依法公正高效审理垄断案件,健全行政执法和司法衔接机制,维护公平竞争秩序。”
V. Article 10 is renumbered as Article 13, paragraph 1 of which is amended to read: "The anti-monopoly enforcement body of the State Council shall be responsible for the unified anti-monopoly law enforcement."   五、将第十条改为第十三条,第一款修改为:“国务院反垄断执法机构负责反垄断统一执法工作。”
VI. Paragraph 2 of Article 13 is renumbered as Article 16, and paragraph 1 of it is renumbered as Article 17.   六、将第十三条第二款改为第十六条,第一款改为第十七条。
VII. Article 14 is renumbered as Article 18, to which two paragraphs are added as paragraphs 2 and 3: "An agreement specified in subparagraph (1) or (2) of the preceding paragraph, which, as the undertaking is able to prove, has no effect of precluding or restricting competition, shall not be prohibited."   七、将第十四条改为第十八条,增加二款,作为第二款、第三款:“对前款第一项和第二项规定的协议,经营者能够证明其不具有排除、限制竞争效果的,不予禁止。
"If the undertaking is able to prove that its share of the relevant market is lower than the standard established by the anti-monopoly enforcement body of the State Council, and satisfies the other conditions specified by the anti-monopoly enforcement body of the State Council, the agreement shall not be prohibited." “经营者能够证明其在相关市场的市场份额低于国务院反垄断执法机构规定的标准,并符合国务院反垄断执法机构规定的其他条件的,不予禁止。”
VIII. One article is added as Article 19: "An undertaking shall not arrange or provide substantive assistance for other undertakings to reach monopoly agreements."   八、增加一条,作为第十九条:“经营者不得组织其他经营者达成垄断协议或者为其他经营者达成垄断协议提供实质性帮助。”
IX. Article 17 is renumbered as Article 22, to which one paragraph is added as paragraph 2: "An undertaking with a dominant market position shall not engage in any conduct of abusing a dominant market position specified in the preceding paragraph by utilizing data and algorithm, technology, and platform rules, among others."   九、将第十七条改为第二十二条,增加一款,作为第二款:“具有市场支配地位的经营者不得利用数据和算法、技术以及平台规则等从事前款规定的滥用市场支配地位的行为。”
X. Article 21 is renumbered as Article 26, to which two paragraphs are added as paragraphs 2 and 3: "Where a concentration between undertakings does not meet the standard of notification prescribed by the State Council, but as proved by evidence, has or may have an effect of precluding or restricting competition, the anti-monopoly enforcement body of the State Council may require the undertakings to provide notification."   十、将第二十一条改为第二十六条,增加二款,作为第二款、第三款:“经营者集中未达到国务院规定的申报标准,但有证据证明该经营者集中具有或者可能具有排除、限制竞争效果的,国务院反垄断执法机构可以要求经营者申报。
