Notice by the Shenzhen Stock Exchange of Matters Concerning Regulating the Distribution of Proceeds from Publicly Offered Infrastructure Real Estate Investment Trusts on the Shenzhen Stock Exchange

For the purposes of regulating matters concerning the distribution of proceeds from publicly offered infrastructure real estate investment trusts (hereinafter referred to as “infrastructure REITs”) and protecting the lawful rights and interests of investors, the Shenzhen Stock Exchange (“SZSE”) hereby notifies you of the relevant matters as follows: 为了规范公开募集基础设施证券投资基金(以下简称基础设施REITs)收益分配相关事项,保护投资者合法权益,深圳证券交易所(以下简称本所)现将有关事项通知如下:
Infrastructure REITs shall distribute their proceeds in strict accordance with Article 37 of the Measures for the Administration of the Operations of Publicly Offered Securities Investment Funds, Article 2 of the Guidelines for Publicly Offered Infrastructure Real Estate Investment Trusts (for Trial Implementation), and other applicable provisions. Where any fund manager engages in fund operating activities in violation of the aforesaid provisions, the SZSZ shall take self-regulatory measures or disciplinary actions in accordance with the Measures of the Shenzhen Stock Exchange for Publicly Offered Infrastructure Real Estate Investment Trusts (for Trial Implementation) and the Rules for the Listing of Securities Investment Funds on the Shenzhen Stock Exchange. Where any infrastructure REIT has not distributed its proceeds in accordance with laws and regulations over two consecutive years, its fund manager shall apply for termination of the listing of the infrastructure REIT. 基础设施REITs应当严格按照《公开募集证券投资基金运作管理办法》第三十七条、《公开募集基础设施证券投资基金指引(试行)》第二条等规定进行收益分配。基金管理人从事基金运作活动违反前述规定的,本所将根据《深圳证券交易所公开募集基础设施证券投资基金业务办法(试行)》《深圳证券交易所证券投资基金上市规则》实施自律监管措施或者纪律处分。基础设施REITs连续两年未按照法律法规进行收益分配的,基金管理人应当申请基金终止上市。
